1. Acceptance of Terms

By accessing or using GhostReview™ ("Service", "Platform", "we", "us", or "our"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these terms, you may not access the Service.

2. Description of Service

GhostReview is an AI-powered SaaS platform that provides:

• Automated review authenticity analysis using AI technology
• Review monitoring across multiple platforms (Google, Yelp, TripAdvisor)
• AI-generated response suggestions for reviews
• Dispute template generation for potentially fraudulent reviews
• Analytics and reporting features
• White-label dashboard customization (Agency plan)
• API access for programmatic review analysis (Agency plan)

The Service uses Google's Gemini AI to analyze review content and provide suspicion scores and classifications. Results are provided as opinions and suggestions, not definitive legal determinations.

3. Account Registration and Security

To use the Service, you must:

• Provide accurate, current, and complete information during registration
• Maintain the security of your password and account
• Verify your email address before accessing certain features
• Be at least 18 years old or the age of majority in your jurisdiction
• Promptly notify us of any unauthorized use of your account

You are responsible for all activities that occur under your account. We reserve the right to refuse service, terminate accounts, or remove content at our sole discretion.

4. Subscription Plans and Billing

4.1 Available Plans

• All payments are processed securely through Paddle
• Subscriptions automatically renew on a monthly basis
• You authorize us to charge your payment method for recurring subscription fees
• Prices are subject to change with 30 days' notice to active subscribers
• All fees are non-refundable except as required by law or as stated in our Refund Policy
• Failed payments may result in service suspension or account termination

4.3 Free Trial

New Pro plan subscribers receive a 14-day free trial. This trial is available only once per user. At the end of the trial period, your payment method will be charged automatically unless you cancel before the trial ends. The free trial is not available for the Agency plan.

4.4 Usage Limits

Each plan includes specific monthly limits for scans and API calls. Limits reset at the beginning of each billing period. Exceeding your plan's limits will prevent additional scans until the next billing cycle or until you upgrade your plan. We do not provide rollover of unused scans or API calls.

5. Cancellation and Termination

5.1 Your Rights

You may cancel your subscription at any time through the Paddle billing portal or by contacting support. Upon cancellation:

• You will retain access to paid features until the end of your current billing period
• Your account will automatically downgrade to the Free plan
• No refunds will be issued for partial billing periods
• Your data will be retained according to our Privacy Policy

5.2 Our Rights

We reserve the right to suspend or terminate your account if you:

• Violate these Terms of Service
• Provide false or misleading information
• Engage in fraudulent or illegal activities
• Abuse or attempt to abuse the Service
• Fail to pay applicable fees
• Use the Service in a manner that harms other users or the platform

6. Acceptable Use Policy

You agree NOT to:

• Use the Service for any illegal purpose or in violation of any laws
• Attempt to gain unauthorized access to any part of the Service
• Reverse engineer, decompile, or disassemble any part of the Service
• Share your account credentials with others
• Use bots, scrapers, or automated tools to access the Service (except through our official API)
• Upload malicious code, viruses, or any harmful content
• Impersonate another person or entity
• Harass, abuse, or harm other users
• Resell or redistribute the Service without written permission
• Use the Service to analyze reviews you do not have rights to analyze
• Circumvent usage limits or access controls

7. Intellectual Property Rights

7.1 Our Rights

The Service, including all content, features, functionality, software, code, designs, graphics, logos, and trademarks, is owned by GhostReview and is protected by international copyright, trademark, and other intellectual property laws. The GhostReview name and logo are trademarks of GhostReview.

7.2 Your Rights

You retain ownership of any review content you submit to the Service. By using the Service, you grant us a worldwide, non-exclusive, royalty-free license to use, process, and analyze your submitted content solely for the purpose of providing the Service. We may use anonymized, aggregated data for improving our services and for analytics purposes.

7.3 White-Label Rights (Agency Plan)

Agency plan subscribers may customize the dashboard with their own branding, including company name, logo, and color scheme. However, this does not grant any ownership rights to the underlying software or Service. White-label customization rights terminate immediately upon downgrade or cancellation.

8. AI Analysis and Disclaimers

8.1 Nature of AI Analysis

GhostReview uses artificial intelligence (Google Gemini 2.0 Flash) to analyze review content. AI analysis is probabilistic and based on patterns, not definitive proof. Suspicion scores and classifications represent the AI's assessment and should be used as guidance, not absolute truth.

8.2 No Guarantees

We do not guarantee that:

• The Service will detect all fake or fraudulent reviews
• Reviews flagged as suspicious are definitively fake
• AI-generated responses are appropriate for your specific situation
• Dispute templates will result in review removal by platform providers
• The Service will be error-free, uninterrupted, or secure
• Results will meet your specific requirements

8.3 Your Responsibility

You are solely responsible for:

• Verifying AI analysis results before taking action
• Reviewing and editing AI-generated responses before publishing
• Ensuring compliance with platform-specific terms when disputing reviews
• Decisions made based on information provided by the Service
• Legal consequences of actions taken based on the Service's output

9. Third-Party Integrations

The Service integrates with third-party platforms and services including:

• Google Business Profile (via OAuth)
• Google Gemini AI
• Paddle (payment processing)
• Yelp (review analysis)
• TripAdvisor (review analysis)

Your use of these third-party services is subject to their respective terms of service and privacy policies. We are not responsible for the practices, content, or availability of third-party services. You grant us permission to access your connected accounts as necessary to provide the Service.

10. Data and Privacy

Your privacy is important to us. Our collection, use, and protection of your personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you consent to the data practices described in our Privacy Policy.

11. API Usage (Agency Plan)

If you subscribe to the Agency plan, you may access our API subject to the following terms:

• API keys are confidential and must not be shared or exposed publicly
• You are limited to 5,000 API calls per month
• API access is subject to rate limiting and fair use policies
• You must implement proper error handling and retry logic
• API endpoints, response formats, and features may change with notice
• You may not use the API to build competing services
• Excessive or abusive API usage may result in throttling or suspension

12. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW:

• THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND
• WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT
• WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
• OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM
• WE ARE NOT LIABLE FOR DECISIONS YOU MAKE BASED ON AI ANALYSIS OR GENERATED CONTENT
• WE ARE NOT LIABLE FOR THIRD-PARTY ACTIONS, INCLUDING REVIEW PLATFORM DECISIONS
• WE ARE NOT LIABLE FOR DATA LOSS, BUSINESS INTERRUPTION, OR LOST PROFITS

Some jurisdictions do not allow the limitation or exclusion of liability for incidental or consequential damages, so the above limitations may not apply to you.

13. Indemnification

You agree to indemnify, defend, and hold harmless GhostReview, its affiliates, officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:

• Your use or misuse of the Service
• Your violation of these Terms
• Your violation of any third-party rights
• Content you submit to the Service
• Actions taken based on AI analysis or generated content

14. Dispute Resolution

14.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of [Your Jurisdiction], without regard to its conflict of law provisions.

14.2 Informal Resolution

Before filing a formal dispute, you agree to contact us and attempt to resolve any issues informally by sending a written notice describing the dispute to our support email.

We shall not be liable for any failure to perform our obligations due to circumstances beyond our reasonable control, including natural disasters, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, network infrastructure failures, strikes, or shortages of transportation facilities, fuel, energy, labor, or materials.
